ThermaPost® Terms of Service

These Terms of Service (the "Terms") govern access to and use of the ThermaPost® thermal post-processing platform (the "Service") operated by Tessa Labs SL (CIF B27543263), Madrid, Spain ("TESSA Labs", "we", "us", "our"). They are separate from and additional to the website Terms of Service.
1. Acceptance of Terms
By accessing or using the Service, you agree to these Terms on your own behalf and on behalf of the organisation you represent. If you do not agree, do not use the Service.
2. Early Access Status
The Service is offered as a pre-release, early-access product. Features, interfaces, performance, availability, and pricing may change or be withdrawn at any time. No uptime, response-time, or support-level commitments are made during early access. The Service is provided on an "as is" and "as available" basis.
3. Eligibility & Accounts
Access is limited to organisations and individuals we invite. You represent that you are authorised to bind your organisation, are of legal age to enter into a contract, and have authority to upload the thermal model outputs and related data you submit to the Service. You are responsible for safeguarding your credentials and for all activity under your account.
4. Limited License to Process
You retain all rights, title, and interest in the solver outputs, models, configuration, and other data you upload ("User Data"). You grant TESSA Labs a non-exclusive, worldwide, royalty-free license to host, store, process, reformat, compute on, and transmit User Data solely to:
- provide the Service to you (including generating post-processing outputs, margin tables, reports, and derived artefacts);
- operate, secure, debug, and improve the reliability of the Service using anonymised and aggregated telemetry; and
- comply with applicable law or a binding legal request.
TESSA Labs will not sell User Data, share it with third parties outside the limited sub-processors required to operate the Service, or use it to train third-party machine-learning models.
5. Data Ephemerality & Retention
Uploaded User Data and derived artefacts are retained only for as long as required to provide the Service to you. By default:
- Uploaded solver outputs and intermediate processing files are deleted within 30 days of last access or on your written request, whichever is sooner.
- Deliverables you export (margin tables, reports, etc.) remain under your control once downloaded; we do not retain your copies beyond the session window.
- Account metadata (email, organisation, audit logs) is retained while your access is active and for a reasonable period afterwards for legal and security purposes.

6. Confidentiality & Export Control
We treat User Data as confidential and apply reasonable technical and organisational safeguards (including encryption in transit and at rest). You are solely responsible for ensuring that data you upload is not subject to export controls (including ITAR, EAR, EU Dual-Use Regulation, or equivalent) that would prohibit its transfer to or processing by TESSA Labs. TESSA Labs disclaims all liability for User Data uploaded in breach of export-control obligations.
7. Acceptable Use
You agree not to:
- upload data you do not own or are not authorised to submit;
- upload malware, exploits, or files designed to disrupt the Service;
- reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent this restriction is prohibited by applicable law;
- use the Service to build a competing product, to benchmark without our written consent, or to circumvent access controls;
- violate any applicable law or third-party right.
8. Intellectual Property
The Service, including its software, models, interfaces, documentation, and branding (ThermaPost®), is and remains the property of Tessa Labs SL and its licensors. No rights are granted other than the limited right to use the Service in accordance with these Terms.
9. Warranties Disclaimer
To the maximum extent permitted by law, the Service is provided without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. Outputs of the Service do not replace engineering judgement; you are responsible for reviewing and validating any results before relying on them for mission-critical decisions.
10. Limitation of Liability
To the maximum extent permitted by law, TESSA Labs' total aggregate liability arising out of or in connection with the Service shall not exceed the fees actually paid by you for the Service in the twelve (12) months preceding the event giving rise to the claim, or fifty euros (€50) if no fees have been paid. TESSA Labs shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill.
11. Termination
TESSA Labs may suspend or terminate your access to the Service at any time, with or without notice, including to end or change the early-access programme. On termination, we will provide a reasonable window for you to export your data before deletion, except where immediate deletion is required for legal or security reasons. You may terminate at any time by ceasing use of the Service and requesting deletion of your data. Sections 4–10 and 12–14 survive termination.
12. Governing Law & Jurisdiction
These Terms are governed by the laws of Spain. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Madrid, Spain.
13. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via the Service or to your registered email address. Continued use of the Service after notice of changes constitutes acceptance of the revised Terms.
